In June 2024, the Nordic media monitoring companies Infomedia A/S and Retriever AB merged. The merger reflected the owners’ ambition to build a stronger Nordic media monitoring company and to create the right conditions for providing customers with monitoring and insights in a dynamic media landscape shaped by social media, misinformation, and new AI solutions.

After the merger, the Norwegian Competition Authority required the submission of a merger notification and subsequently assessed the transaction. The process concluded with the merger being approved on the condition that Infomedia Retriever Holding AB, the holding company, sold Infomedia Norge AS.

During preparations for the sale, external advisors uncovered several serious issues in Infomedia Norge AS. These concerned, among other things, underpayment to the media houses from which the company licensed its content. This underpayment meant that Infomedia Norge AS had been able to sell media monitoring in the market at a much lower price than the product’s true cost would imply. The size of the underpayment was also such that correct pricing would have resulted in a cost and price level the company could not bear.

When these matters became known, the company was obligated to follow up the breaches of contract with the media houses. The company therefore initiated a dialogue with them in an attempt to find a solution. Despite intensive efforts, it was not possible to establish a sustainable way forward for the company.
